Terms of Service

1. Eligibility

You must be at least 18 years of age to use the Service. By creating an account, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. You are responsible for ensuring your use of the Service complies with all applicable laws in your jurisdiction, including but not limited to gambling and sports betting regulations.

2. Description of Service

SharpAPI provides a real-time sports betting odds aggregation API, including:

• Real-time and near-real-time odds data from multiple sportsbooks, including US-regulated operators (e.g., DraftKings, FanDuel, BetMGM, Caesars), international sharp and soft books (e.g., Pinnacle, Bet365, Betway), offshore platforms, and alternative betting exchanges
• Expected Value (EV) calculations using sharp bookmakers (primarily Pinnacle) as a reference
• Arbitrage and middles opportunity detection
• Server-Sent Events (SSE) streaming for live odds updates (available as an add-on or included with Enterprise plans)
• Sports, leagues, events, and market reference data

The Service is provided for informational and analytical purposes only. Odds data originates from third-party sportsbooks and is aggregated by our collection infrastructure. Data availability, coverage, and latency may vary.

3. Account Registration & API Keys

To access the Service, you must create an account and generate an API key. You agree to:

• Provide accurate and current registration information
• Keep your API keys confidential and secure
• Not share, publish, or embed API keys in client-side code
• Immediately notify us if you believe your API key has been compromised
• Accept responsibility for all activity under your API keys

We reserve the right to revoke API keys that are compromised, shared, or used in violation of these Terms.

4. Subscription Plans & Billing

4.1 Plans & Pricing

The Service is offered through tiered subscription plans (Free, Hobby, Pro, Sharp, and Enterprise) with varying rate limits, data access, and features. Current pricing is available at sharpapi.io. We reserve the right to modify pricing with 30 days' advance notice.

4.2 Billing

Paid subscriptions are billed in advance on a monthly basis through Stripe. By subscribing, you authorize recurring charges to your payment method. Subscriptions automatically renew unless cancelled before the end of the current billing period.

4.3 Free Trial

We may offer a free trial period for new users. Each user is eligible for one free trial only. Attempts to create multiple accounts to obtain additional trials constitute a violation of these Terms. We track trial eligibility permanently to prevent abuse.

4.4 Refunds

All subscription payments are non-refundable. You may cancel your subscription at any time, and you will retain access through the end of your current billing period. No partial refunds are issued for unused time within a billing period.

5. Acceptable Use & Restrictions

You agree to the following when using the Service:

5.1 You May

• Use the data for personal analysis, research, and decision-making
• Build internal tools and applications that consume the API
• Display odds data within your own application for your own end users, provided you maintain an active subscription at the appropriate tier

5.2 You May Not

• Resell, sublicense, or redistribute raw API data to third parties
• Use the Service to operate a competing odds aggregation service
• Exceed your subscription tier's rate limits or circumvent rate limiting
• Share API keys or allow unauthorized access to your account
• Reverse-engineer, scrape, or cache data beyond reasonable application needs
• Use the Service for any unlawful activity, including illegal gambling
• Attempt to probe, scan, or test vulnerabilities of the Service
• Interfere with the Service's infrastructure or other users' access

6. Rate Limits & Fair Use

Each subscription tier includes specific rate limits (requests per minute) and feature access. Rate limit details are documented in our API documentation.

• Rate limits are enforced per API key on a 60-second sliding window
• Exceeding rate limits returns HTTP 429 with a retry-after header
• Persistent rate limit abuse may result in temporary or permanent suspension
• SSE streaming requires a paid add-on subscription (included with Enterprise plans) and is subject to concurrent connection limits

We reserve the right to modify rate limits at any time. Material changes to paid tier limits will be communicated with 30 days' notice.

7. Intellectual Property

The Service, including its API design, documentation, algorithms (EV calculations, arbitrage detection), branding, and infrastructure, is the intellectual property of SharpAPI LLC and is protected by applicable copyright and trade secret laws.

Odds data delivered through the API originates from third-party sportsbooks. We do not claim ownership of the underlying odds data. Your right to use the data is limited to the scope of your active subscription and these Terms.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED.

• Not advice: The Service does not constitute financial, legal, investment, or gambling advice. EV calculations and arbitrage alerts are mathematical computations, not recommendations to place bets.
• No accuracy guarantee: While we strive for accuracy, we do not guarantee that odds data is complete, current, or error-free. Sportsbook data may be delayed, stale, or incorrect. Always verify odds directly with the sportsbook before placing bets.
• No uptime guarantee: We do not guarantee uninterrupted service availability. The Service may experience downtime for maintenance, upstream data issues, or other reasons. Enterprise customers may negotiate separate SLA terms.
• Betting risk: Sports betting involves financial risk. Positive expected value (+EV) does not guarantee profit. Past performance does not predict future results. You are solely responsible for your betting decisions and any resulting gains or losses.
• Sportsbook actions: Sportsbooks may limit, restrict, or close your accounts based on your betting patterns. We are not responsible for any sportsbook actions taken against you.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHARPAPI LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Financial losses from betting activities based on data from the Service
• Loss of profits, revenue, data, or business opportunities
• Sportsbook account limitations or closures
• Service interruptions or data inaccuracies
• Unauthorized access to your account due to compromised API keys

Our total aggregate liability for any claims arising from the Service shall not exceed the amount you paid to SharpAPI LLC in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless SharpAPI LLC and its affiliates, officers, and employees from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any applicable law or regulation
• Your betting or gambling activities
• Any application you build using the Service

11. Termination

11.1 By You

You may cancel your subscription at any time through your dashboard. Cancellation takes effect at the end of your current billing period. To request full account deletion and removal of your personal data, contact us at privacy@sharpapi.io.

11.2 By Us

We may suspend or terminate your access to the Service immediately, without prior notice, for the following reasons:

• Violation of these Terms or our Acceptable Use policy
• Non-payment or payment failure
• Fraud, abuse, or security threats detected
• Anomalous usage patterns (e.g., excessive IP switching, rapid key rotation)
• Legal or regulatory requirements

11.3 Effect of Termination

Upon termination, your API keys will be revoked and access to the Service will cease. We will retain your data as described in our Privacy Policy. Sections 7-10 and 13 survive termination.

12. Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes by updating the "Last updated" date and, for significant changes, by sending an email to the address associated with your account. Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service and cancel your subscription.

13. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, United States, without regard to conflict of law principles.

Any dispute arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within 30 days, either party may pursue binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in Pennsylvania. Each party shall bear its own costs, and the arbitrator's decision shall be final and binding.

Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

14. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to the data practices described in the Privacy Policy.

15. General Provisions

• Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and SharpAPI LLC regarding the Service.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
• Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
• Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
• Force Majeure: We shall not be liable for any failure or delay caused by circumstances beyond our reasonable control, including natural disasters, acts of government, or internet disruptions.
